We are currently accepting applications for a Transaction Advisory M&A Tax Senior Manager to join us in any of the following US office locations (Boston, MA; New York, NY; Philadelphia, PA; Princeton, NJ; East Brunswick, NJ; Red Bank, NJ; Whippany, NJ; Saddle Brook, NJ; Bethesda, MD; Los Angeles, CA; Orange County, CA; San Francisco, CA) or remotely within the US. The Tax M&A Manager will support our firm nationwide. As a manager you will be a vital member of the team leading and executing tax structuring and tax diligence project work.

How You'll Spend Your Time:

  • Leading and coordinating due diligence and tax structuring engagements
  • Working with client and client counsel to structure various transactions, including taxable and tax free acquisitions, dispositions, reorganizations, spinoffs, and other transaction tax matters
  • Assisting clients with current issues which may include debt and equity restructurings, tax basis, earnings and profits, and section 382 studies
  • Liaising with a target company's finance/accounting departments and tax advisors to gather pertinent facts for an analysis of tax risks
  • Identify opportunities for tax optimization planning, tax remediation, and overall tax strategy for private equity and strategic buyers
  • Liaising with tax compliance teams to ensure transactions are accurately reported on US federal, state, and other tax filings
  • Engaging in relevant marketing and business development activities
  • Developing and mentoring other team members while contributing to the ongoing development of M&A best practices

The Kinds of People We Want to Talk to Have Many of The Following:

  • A degree in Accounting, Masters in Business Taxation (MBT) or JD/LLM required
  • 5+ years of related (M&A) work experience required
  • Excellent analytical skills and the confidence to translate complex data into meaningful insights
  • The ability to prioritize effectively on projects and the skills to adapt quickly to new challenges and concepts
  • Project leadership in tax structuring and tax due diligence engagements
  • Ability to apply and interpret U.S. federal income tax law as it relates to tax due diligence exercises, including Subchapter C & S corporations, partnerships, consolidated groups, tax efficient structuring and use of debt, the reorganization provisions of the Internal Revenue Code, and technical writing and reviewing of opinion letters and memoranda
  • Experience with tax consulting and planning e.g., analyzing proposed transactions for unusual tax risks or unanticipated tax benefits

Ideally, you'll also have:

  • A proven record of excellence in a mergers or acquisitions transactions role
  • Experience gained within another large professional services organization
  • Established networking skills in a relevant industry

In addition to the base compensation, Withum offers a competitive benefits package and bonus program (for eligible roles) based on individual and firm performance. Final offer amounts are based on multiple factors such as the specific role, hiring location, as well as the individual's skills, experience and qualifications.
